• Quality assurance tools

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately of any unauthorized use of your account

3.2 Account Responsibilities

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in activity that we deem harmful to our Service or other users.

4. Acceptable Use Policy

You agree not to use the Service to:

• Upload or process content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable

5. Data Processing and Privacy

5.1 Data Processing

You are solely responsible for all data, including call recordings, that you or your users upload to the Service ("Customer Data"). By using our Service, you represent and warrant that:

• You have all necessary rights, consents, and permissions to collect, share, and use Customer Data as contemplated in these Terms.
• Your provision and use of Customer Data through the Service does not and will not violate any applicable laws (including those related to call recording, data privacy, and surveillance) or any third-party rights.
• You have provided all required notices and obtained all necessary consents from individuals (including your employees, agents, and customers) for the processing of their data by QueSee AI.

You agree that QueSee AI is a "data processor" and you are the "data controller" with respect to Customer Data. You are responsible for handling all data subject requests under applicable privacy laws.

5.2 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. Intellectual Property Rights

6.1 QueSee AI Property

The Service and its original content, features, and functionality are and will remain the exclusive property of QueSee AI and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6.2 Your Content

You retain ownership of Customer Data. However, you grant QueSee AI a worldwide, non-exclusive, royalty-free license to use, process, reproduce, and display Customer Data solely to the extent necessary to provide, maintain, and improve the Service for you. We may also use anonymized and aggregated data derived from your use of the Service for our business purposes, including analytics and service improvement, provided that such data does not identify you or any individual.

6.3 Feedback

Any feedback, suggestions, or recommendations you provide regarding the Service shall become our property, and we shall have the unrestricted right to use such feedback without compensation to you.

7. Payment Terms

7.1 Subscription Fees

Certain features of the Service require payment of fees. By subscribing to a paid plan, you agree to pay all applicable fees as described in your subscription agreement.

7.2 Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as explicitly stated in these Terms
• We reserve the right to change our fees upon 30 days' notice
• You are responsible for all taxes associated with your use of the Service

7.3 Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

8. Service Availability and Support

We will use commercially reasonable efforts to make the Service available to you. However, access may be interrupted for scheduled maintenance, emergency repairs, or due to failure of telecommunications links and equipment. We do not guarantee any specific level of uptime. Specific service level commitments, if any, will be governed by a separate written agreement.

We provide technical support according to your subscription plan.

9. Disclaimers and Limitations of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. QUESEE AI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE RESULTS (INCLUDING AI-GENERATED ANALYSIS) WILL BE ACCURATE, COMPLETE, OR RELIABLE. YOU ACKNOWLEDGE THAT AI SYSTEMS ARE PRONE TO ERRORS AND INACCURACIES AND YOU AGREE TO VERIFY ANY OUTPUT BEFORE RELYING ON IT.

9.2 Limitation of Liability

IN NO EVENT SHALL QUESEE AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

9.3 Liability Cap

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) $100.

10. Indemnification

You agree to defend, indemnify, and hold harmless QueSee AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to use such confidential information except as necessary to perform under these Terms. This obligation shall survive termination of these Terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@quesee.ai. Upon termination, your right to use the Service will immediately cease.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.

12.3 Effect of Termination

Upon termination, we will make your data available for download for 30 days, after which it may be deleted. All provisions of these Terms that should reasonably survive termination shall remain in effect.

13. Governing Law and Disputes

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and QueSee AI regarding the Service and supersede all prior agreements and understandings.

14.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Effective Date."

14.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
